The rules of the road for using BizzNeo — written to be read, not to be skipped.
01Agreement to These Terms
Acceptance
By creating a BizzNeo account, installing our widget, or otherwise using the service, you agree to these Terms of Service. If you are accepting on behalf of a company, you confirm you have the authority to bind that company.
Related Documents
These Terms incorporate our Privacy Policy. Where a signed agreement exists between you and BizzNeo, that agreement prevails over any conflicting clause here.
Eligibility
You must be at least 18 years old and legally able to enter into contracts. The service is provided for business use, not personal or household use.
02The Service
What BizzNeo Does
BizzNeo crawls a website you control, builds an AI agent from that content, and serves the agent through an embeddable widget and connected messaging channels.
Ongoing Changes
We improve the platform continuously. Features may be added, changed, or removed. We will give reasonable notice before removing a feature you materially depend on.
Availability
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance is announced in advance where practical.
Beta Features
Features labelled beta, preview, or experimental are provided as-is, may change without notice, and are excluded from any service commitment.
03Your Account
Accurate Details
You agree to provide accurate registration information and keep it current.
Credentials
You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use.
One Account per Business
Accounts are for a single business entity. Sharing a single account across unrelated businesses, or reselling access without a written partner agreement, is not permitted.
04Acceptable Use
Sites You Control
You may only train the agent on, and install the widget into, websites and channels that you own or are authorised to operate.
Prohibited Conduct
You may not use BizzNeo to break the law, infringe intellectual property, send spam or unsolicited bulk messages, harass any person, impersonate another business, or distribute malware.
Technical Limits
You may not reverse engineer the platform, bypass rate limits or credit metering, scrape the dashboard, or probe our infrastructure without written permission.
Regulated Advice
BizzNeo is not designed to deliver medical, legal, or financial advice, and must not be deployed as the sole source of such advice to end users.
05Your Content & Our Licence
You Own Your Content
Your website content, uploaded documents, brand assets, and conversation data remain yours. We claim no ownership over them.
Licence You Grant Us
You grant BizzNeo a non-exclusive, worldwide licence to host, process, index, and transmit your content strictly to operate the service for you. The licence ends when you delete the content or close your account.
Your Warranty
You confirm you have the rights to all content you submit, and that our processing of it will not infringe third-party rights or violate privacy law.
End-User Notice
Where required by law, you are responsible for telling your own visitors that an AI agent handles their messages and for obtaining any consent that applies.
06AI Output
No Guarantee of Accuracy
AI responses are generated from your content and may be incomplete, outdated, or wrong. We do not warrant accuracy, and outputs should not be relied on as the final word on pricing, availability, or contractual commitments.
Your Responsibility
You are responsible for reviewing the agent's behaviour, configuring it appropriately, and for any statement it makes to your visitors on your behalf.
Human Escalation
We recommend keeping a human handover path available for high-value or sensitive conversations.
07Third-Party Platforms
Separate Terms
Integrations with Meta (WhatsApp, Instagram, Messenger), Google Tag Manager, Shopify, WordPress, and other platforms are governed by those providers' own terms and policies, which you must comply with.
Interruptions
Those providers may change or discontinue their APIs at any time. We are not liable for loss of functionality caused by a third-party change outside our control.
08Plans, Credits & Billing
Subscriptions
Paid plans renew automatically for the billing period selected until cancelled. Fees are charged in advance.
Credits
Usage-based credits are consumed as your agent handles conversations and training jobs. Unused credits expire at the end of the billing period unless your plan states otherwise.
Taxes
Prices exclude taxes. You are responsible for any VAT, sales tax, or withholding that applies in your jurisdiction.
Price Changes
We may change pricing with at least 30 days' notice before your next renewal. Continuing after that date accepts the new price.
Refunds
Fees already paid are non-refundable except where required by law or where we cancel your plan without cause. Cancelling stops the next renewal; access continues to the end of the paid period.
Failed Payments
If a payment fails we may suspend the agent after notice and a grace period. Data is retained during suspension for 30 days.
09Suspension & Termination
By You
You may cancel at any time from your dashboard. Deleting your account triggers the deletion timeline described in our Privacy Policy.
By Us
We may suspend or terminate your account for breach of these Terms, non-payment, or activity that threatens the platform's security or other customers. Where the situation allows, we give notice and a chance to fix the issue first.
Effect of Termination
On termination, your right to use the service ends and the widget stops responding. You may export your data during the 30 days before deletion.
10Intellectual Property
Our Platform
BizzNeo, its software, models, interfaces, documentation, and brand are owned by us and protected by intellectual property law. These Terms grant you a limited right to use the service, not ownership of it.
Feedback
If you send us suggestions, we may use them without restriction or obligation to you.
11Disclaimers & Liability
As-Is Service
To the maximum extent permitted by law, the service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.
Excluded Damages
We are not liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, lost revenue, lost sales, or loss of goodwill, even if advised of the possibility.
Liability Cap
Our total aggregate liability arising out of or relating to the service is limited to the fees you paid to BizzNeo in the 12 months immediately before the event giving rise to the claim.
Local Rights
Some jurisdictions do not allow certain exclusions. Where that applies, the limitations above apply to the fullest extent permitted.
12Indemnity
Your Indemnity
You agree to indemnify and hold BizzNeo harmless from third-party claims arising out of your content, your use of the service, your breach of these Terms, or your violation of applicable law or a third-party right.
13Changes to These Terms
Updates
We may revise these Terms. Material changes are announced by email or in-app notice at least 14 days before they take effect. Continued use after that date constitutes acceptance. If you do not agree, cancel before the effective date.
14Governing Law
Jurisdiction
These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules. The courts of Dhaka, Bangladesh have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property.
Severability
If any provision is held unenforceable, the rest remains in force and the unenforceable provision is limited to the minimum extent necessary.
